Terms of Service

1. Header
These Terms of Service are issued by Tellus DWC LLC, trading as ClinicBoost, with registered office at Office 1704, 17th Floor, Mayaza BB2, JLT, Dubai, United Arab Emirates. The company is registered in the DMCC Free Zone, trade licence number [placeholder]. Contact for legal matters: legal@clinicboost.ae.
2. Acceptance and scope
Use of the clinicboost.ae website, the audit request, and any pre-contractual interactions with Tellus DWC LLC are governed by these terms. Once a clinic signs a service agreement with us (the “Master Services Agreement” or “MSA”), the MSA supersedes these terms for the contracted scope.
By using clinicboost.ae or by submitting an audit request, you confirm that you have read, understood, and agreed to these terms.
3. Services covered
Tellus DWC LLC, trading as ClinicBoost, offers managed patient acquisition services for healthcare clinics. The services include, but are not limited to:
- Paid-media buying on Google and Meta platforms.
- Operation of an AI front-desk and voice agent.
- Operation of a CRM (typically GoHighLevel) on the clinic's behalf.
- Attribution reporting and audit deliverables.
All engagements are scoped via written agreement. Nothing on the website itself constitutes an offer to contract.
4. Pre-contractual commercial terms
All audits delivered before contract signature are non-commercial. No payment is taken. No commitment is created on either side. Any work performed beyond the audit requires a signed agreement and a confirmed first invoice.
Pre-contractual confidentiality is mutual and runs from first contact. Information shared with us during the audit process is treated as confidential and is not disclosed to third parties outside our sub-processor list (see our Privacy Policy).
5. Intellectual property
All website content, including copy, design, photography, and brand marks, is © Tellus DWC LLC. Reproduction, in whole or in part, requires written permission.
Audit documents delivered to clinics: the clinic owns the recommendations as applied to the clinic's business. Tellus DWC LLC retains the methodology and frameworks underlying those recommendations.
Where AI-generated content is used in delivery, this is disclosed in line with our internal AI content disclosure policy. The disclosure is available on request.
6. Data processing
Where this website processes personal data, the relevant disclosures live in our Privacy Policy and our Cookie Policy.
Where Tellus DWC LLC processes patient data on a clinic's behalf under a Master Services Agreement, that processing is governed by the Data Processing Agreement (DPA) executed at the start of the engagement, by our compliance posture, and by the applicable law (UAE Federal Decree-Law 45/2021, UAE Federal Law 2 of 2019, the relevant emirate-level health authority, and, where applicable, KSA PDPL).
7. Limitations of liability
Audit deliverables are advisory. The clinic remains responsible for all implementation decisions, and for compliance with the regulatory perimeter applicable to its facility (DHA, DoH Abu Dhabi, MOHAP, SCFHS, Qatar MoPH, as applicable).
Pre-contractual liability of Tellus DWC LLC is limited to the value of any fee paid (typically zero for audits). Once contracted, the liability terms set out in the signed MSA govern. Nothing in these terms limits liability that cannot be limited under applicable law (for example, liability for fraud, gross negligence, or wilful misconduct).
8. Termination and suspension of website access
We reserve the right to refuse audit requests, suspend website access, or terminate pre-contractual engagements where the requesting party:
- Is in breach of applicable law.
- Is a competitor seeking access to our methodology, deliverables, or pricing in bad faith.
- Is engaged in misuse of our forms, intake systems, or communication channels.
We will notify the affected party in writing where lawful to do so.
9. Governing law and dispute resolution
These terms are governed by the laws of the United Arab Emirates, as applied in the Emirate of Dubai.
Any dispute arising in connection with these terms is referred first to good-faith negotiation between the parties for a period of 60 days. If the dispute remains unresolved, it is submitted to the DIFC Courts (Dubai International Financial Centre), or, where the parties so agree in writing, to arbitration under the DIFC-LCIA Arbitration Rules seated in Dubai.
Nothing in this clause limits a party's right to seek interim or injunctive relief from a court of competent jurisdiction.
10. Updates and contact
Material changes to these terms are notified to active contacts. The operative version controls in case of conflict; the operative version is the one published at clinicboost.ae/legal/terms with the most recent effective date.
